1. General Overview
These Terms of Service and Policies govern the professional relationship between Dr. Myrelis Aponte and Desarrollo Vital, LLC ("Service Provider") and the corporate client ("Client"). By engaging the Service Provider for keynote speaking, training, or executive coaching services, the Client agrees to these terms.
2. Scope of Services
The Service Provider offers the following services:- Keynote Speaking: One-time or recurring speaking engagements tailored to the Client's needs, focusing on brain health, neuroscience strategies, and personal/team development.- Experiential Training and Workshops: Interactive sessions aimed at educating and enhancing the skills of teams or individuals in areas such as leadership, productivity, mental clarity, stress management, and communication.- Executive Neuro-Coaching: Personalized coaching for executives and leaders, focusing on performance improvement, decision-making, and overall well-being.
3. Engagement and Deliverables
Upon booking, the Client will receive:- A customized proposal based on the Client’s needs, as discussed during the onboarding process.- Clear outlines of the topics to be covered and the expected outcomes.- Deliverables may include presentations, workbooks, handouts, or other relevant materials as agreed upon.
4. Fees and Payment Terms- Pricing:
Fees for services will be outlined in the proposal provided to the Client. These fees are based on the scope of work, length of engagement, number of participants, and other factors.- Invoicing: An invoice will be issued after confirmation of the engagement, outlining the agreed-upon fees and due dates.- Payment Terms: A non-refundable deposit of 50% is required upon signing the agreement to secure the booking. The remaining balance is due two (2) days prior to the scheduled service date.- Late Payment: Payments not made by the due date will incur a late fee of [Insert Percentage or Amount] per day. Failure to pay within [Insert Time Period] may result in the cancellation of the engagement.
5. Cancellations and Rescheduling- Client-Initiated Cancellation:
Cancellations made more than 14 days before the scheduled engagement will receive a refund, minus the non-refundable deposit. - Cancellations made within 7 days of the event will result in a charge of 75% of the total fee.- Rescheduling: Rescheduling requests must be made in writing. The Service Provider will make reasonable efforts to accommodate the new dates, subject to availability. If rescheduling is not possible, standard cancellation fees may apply.- Service Provider-Initiated Cancellation: In the unlikely event that the Service Provider must cancel, the Client will be notified as soon as possible and a full refund will be provided.
6. Intellectual Property-
All content provided during the speaking engagement, training, or coaching sessions, including but not limited to presentations, handouts, and supplementary materials, remains the intellectual property of the Service Provider.- The Client is granted a limited, non-transferable license to use the materials for internal purposes only. Materials may not be reproduced, distributed, or resold without prior written consent from the Service Provider.
7. Confidentiality- Both parties agree to maintain the confidentiality of sensitive information shared during the engagement. The Service Provider may gather information about the Client’s organization, employees, or operations to deliver customized services, and this information will not be disclosed to third parties without prior written consent.- Similarly, any personal information or trade secrets disclosed by the Client will remain confidential.
8. Client Responsibilities-
The Client agrees to provide all necessary information, access, and support for the Service Provider to effectively deliver the agreed-upon services.- This includes timely communication of goals, sharing relevant materials or background information, and ensuring the availability of participants for training or coaching sessions.- The Client is responsible for providing the venue and any required audiovisual equipment unless otherwise specified in the proposal.
9. Limitation of Liability-
The Service Provider will deliver the services with due care and professionalism. However, the Service Provider makes no guarantees regarding specific outcomes or results.- The Service Provider shall not be held liable for any indirect, incidental, or consequential damages that may arise during or after the delivery of services.- In no event shall the Service Provider's total liability exceed the fees paid by the Client for the specific engagement in question.
10. Force Majeure
Neither party shall be held responsible for any delay or failure to perform its obligations under this agreement due to events beyond its control, such as natural disasters, acts of war, or government restrictions. In such circumstances, both parties will attempt to reschedule the engagement.
11. Termination
Either party may terminate this agreement with written notice if the other party fails to meet their obligations under this agreement. In the event of termination by the Client, cancellation fees will apply as outlined in Section 5. Upon termination, all outstanding payments for services delivered up to that point must be settled.
12. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Florida where Desarrollo Vital, LLC is registered. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in Florida.
13. Amendments
The Service Provider reserves the right to modify these terms at any time. Any changes will be communicated to the Client in writing. Continued engagement after the receipt of updated terms implies acceptance of the revised terms.
14. Entire Agreement
This agreement, along with any proposals or attachments, constitutes the entire understanding between the Service Provider and the Client and supersedes all prior agreements or understandings.
